1. AGREEMENT
These Terms & Conditions ("Terms" or "Agreement") constitute a legal agreement between Company name: Psichologijos mokymų centras, UAB, Registration code: 305743263, VAT: LT100014333519, Address: Gojaus g. 1, Zibalai, Širvintų r., Lithuania ("NoYell", "we", "us", or "our"), and any individual who accesses or uses the NoYell website, application, or related services (collectively, the "Service").
1.1. By accessing, browsing, purchasing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Service.
1.2. IMPORTANT: These Terms contain a mandatory arbitration provision (Section 12), limitations of liability, warranty disclaimers, and a waiver of the right to participate in class actions. Please read these provisions carefully, as they affect your legal rights.
1.3. The following policies form an integral part of these Terms and are incorporated herein by reference:

2. SERVICE
2.1. NoYell is a digital app-based subscription service providing access to digital content, educational materials, personalized features, updates, and related services through the NoYell App.
2.2. Certain features require purchasing a Subscription and creating an account. Access credentials, digital content, updates, and service communications may be delivered through the NoYell App and/or to the email address provided during purchase.
2.3. The Service is intended solely for personal, non-commercial use.
3. LICENSE AND LICENSE RESTRICTIONS
3.1. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable, and non-sublicensable license to access and use the Service solely for your personal, non-commercial use.
3.2. Except as expressly permitted under these Terms, you may not:
- (a) copy, reproduce, distribute, modify, publicly display, publish, transmit, sell, rent, sublicense, or create derivative works from any part of the Service;
- (b) interfere with or disrupt the Service, servers, or networks;
- (c) use robots, spiders, scrapers, automated tools, or similar technologies to access the Service;
- (d) circumvent, disable, or interfere with any security or technical protection measures used by the Service.
4. INTELLECTUAL PROPERTY
4.1. The Service, including all software, text, graphics, images, videos, audio, trademarks, logos, designs, databases, and other materials ("Content"), is owned by or licensed to Psichologijos mokymų centras, UAB and is protected by applicable intellectual property laws.
4.2. Your use of the Service grants you no ownership rights in the Content. All rights not expressly granted under these Terms are reserved.
4.3. You may use the Content solely for your personal, non-commercial use in accordance with these Terms.
5. PAYMENT TERMS
5.1. Subscription
The NoYell Service is provided as a digital app-based subscription.
By clicking "ORDER NOW", "START NOW", or any similar purchase button during checkout, you expressly agree to purchase a recurring subscription and authorize us (or our third-party payment processor) to charge your selected payment method according to the subscription plan you selected.
5.2. Subscription Plans
Depending on the plan selected during checkout, the following subscription options may be available:
1-Week Introductory Plan
- First payment: $8.18
- Introductory period: 1 week
- Renewal price: $20.97
- Billing period: every 1 week
If you do not cancel before your next billing date, your subscription will automatically renew at $20.97 every week until cancelled.
4-Week Introductory Plan
- First payment: $17.92
- Introductory period: 4 weeks
- Renewal price: $45.96
- Billing period: every 4 weeks
If you do not cancel before your next billing date, your subscription will automatically renew at $45.96 every 4 weeks until cancelled.
12-Week Introductory Plan
- First payment: $29.74
- Introductory period: 12 weeks
- Renewal price: $78.65
- Billing period: every 12 weeks
If you do not cancel before your next billing date, your subscription will automatically renew at $78.65 every 12 weeks until cancelled.
The subscription price, renewal amount, billing frequency, and applicable terms are always displayed during checkout before payment is completed.
5.3. Cancellation
You may cancel your Subscription at any time before your next scheduled billing date by contacting Customer Support at hello@noyellplan.com.
After cancellation:
- no future renewal charges will be made;
- you will continue to have access until the end of your current paid billing period;
- your subscription will automatically expire at the end of that billing period.
5.4. Refunds
Eligible customers may request a refund under our Money-Back Guarantee Policy, subject to the conditions described in that policy and any rights provided under applicable law.
5.5. Statement Descriptor
Charges may appear on your bank or card statement as NOYELL APP or another descriptor identifying NoYell or our payment processor.

6. PRIVACY
We respect your privacy and are committed to protecting your personal data. Any personal information collected through the Service is processed in accordance with our Privacy Policy, which explains how we collect, use, store, and protect your personal data, as well as your rights regarding such data.
By using the Service, you acknowledge that you have read and understood our Privacy Policy.
7. ACCOUNT SUSPENSION AND TERMINATION
7.1. We may suspend or terminate your access to the Service if:
- you violate these Terms;
- fraudulent or unauthorized activity is suspected;
- your payment cannot be processed;
- we are required to do so by applicable law; or
- it is necessary to protect the security or integrity of the Service.
7.2. You may stop using the Service at any time. Terminating your account does not automatically cancel your Subscription. Subscription cancellation must be completed in accordance with the Subscription Terms.
7.3. If your account is terminated, you will lose access to the digital content and features associated with your Subscription after the applicable access period ends.
8. COPYRIGHT POLICY
8.1. If you believe that any content available through the Service infringes your intellectual property rights, please send us a written notice describing the alleged infringement.
8.2. Copyright notices should be sent to hello@noyellplan.com.
We will review all properly submitted notices and take appropriate action where required by applicable law.
9. DISCLAIMER OF WARRANTIES
9.1. Except where prohibited by applicable law, the Service is provided on an "AS IS" and "AS AVAILABLE" basis.
To the fullest extent permitted by law, Psichologijos mokymų centras, UAB disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or uninterrupted operation of the Service.
We do not warrant that:
- the Service will always be available or error-free;
- any defects will be corrected;
- the Service will meet your individual expectations or requirements;
- any results obtained through the Service will be accurate, complete, or reliable.
9.2. The NoYell content is provided for educational and informational purposes only and is not medical, clinical, therapeutic, legal or professional advice.
The information available through the Service should not be relied upon as a substitute for professional advice, diagnosis, treatment, legal guidance, or other qualified professional services. Always seek appropriate professional advice regarding your individual circumstances.
9.3. We may modify, suspend, update, or discontinue any part of the Service at any time, subject to applicable law. We shall not be liable for any loss resulting from such modifications, interruptions, or discontinuation.
10. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Psichologijos mokymų centras, UAB shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to your use of the Service.
This includes, without limitation:
- loss of profits;
- loss of data;
- business interruption;
- inability to access or use the Service;
- unauthorized access to your account or personal information;
- reliance on information made available through the Service.
Nothing in these Terms excludes or limits liability where such limitation is prohibited by applicable law.
11. YOUR RESPONSIBILITIES
By using the Service, you agree to:

- maintain the confidentiality of your account credentials;
- use the Service only for lawful purposes and in accordance with these Terms;
- refrain from attempting to interfere with or disrupt the operation or security of the Service.
You agree to indemnify and hold harmless Psichologijos mokymų centras, UAB, its affiliates, officers, directors, employees, contractors, and partners from any claims, damages, losses, liabilities, or expenses arising from your violation of these Terms or misuse of the Service.
12. DISPUTE RESOLUTION
To the fullest extent permitted by applicable law, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA).
Arbitration shall be conducted on an individual basis. Class actions, class arbitrations, and representative proceedings are not permitted.
If you wish to opt out of this arbitration agreement, you may notify us by email at hello@noyellplan.com within thirty (30) days of your initial acceptance of these Terms.
13. MODIFICATIONS TO THE SERVICE AND TERMS
13.1. We may update or modify the Service, these Terms, or any related policies from time to time.
Where required by applicable law, we will provide reasonable notice before any material changes become effective.
13.2. We may assign or transfer our rights and obligations under these Terms to another entity. Such assignment will not reduce your rights under these Terms.
13.3. We may provide notices regarding the Service or these Terms by:
- posting information within the Service;
- sending an email to the address associated with your account; or
- using any other reasonable method of communication.
14. TERM
These Terms become effective when you first access or use the Service and remain in effect until your access to the Service has ended.
Any provisions that by their nature should survive termination, including but not limited to intellectual property rights, disclaimers, limitations of liability, dispute resolution, and indemnification, shall survive termination of these Terms.
15. ELECTRONIC CONSENT
By clicking "ORDER NOW", "START NOW", or any similar purchase button, you provide your electronic signature and expressly agree to:
- these Terms & Conditions;
- the Subscription Terms;
- the Money-Back Guarantee Policy;
- the Privacy Policy;
- recurring subscription charges according to the subscription plan selected during checkout.
You acknowledge that electronic agreements and electronic records have the same legal effect as signed written agreements to the fullest extent permitted by applicable law.
16. GENERAL PROVISIONS
16.1. Governing Law
These Terms are governed by the laws of the Republic of Lithuania, excluding its conflict-of-law principles.
If a dispute is determined not to be subject to arbitration, the courts of the Republic of Lithuania shall have exclusive jurisdiction, unless otherwise required by applicable law.
16.2. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, Subscription Terms, and Money-Back Guarantee Policy, constitute the entire agreement between you and Psichologijos mokymų centras, UAB regarding the Service.
16.3. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16.4. No Waiver
Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.
16.5. Force Majeure
Psichologijos mokymų centras, UAB shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, acts of government, war, terrorism, labor disputes, internet outages, or failures of third-party service providers.
